Addendum to the Vellor Terms of Service

1. Parties and relationship to the Terms of Service
These Founding Member Program Terms (this "Addendum") are between Ellis Tech LLC, a Maryland limited liability company ("Ellis Tech"), and the attorney or firm accepting below (the "Founding Member"). This Addendum supplements the Vellor Terms of Service, Privacy Policy, AI and Professional Responsibility Disclaimer, Data Security and Confidentiality statement, and Refund and Cancellation Policy accepted at signup (together, the "Service Terms"). The Service Terms remain in full effect. If this Addendum conflicts with the Service Terms on a subject it expressly addresses, this Addendum controls for the Founding Member; otherwise the Service Terms control.
2. The founding member program
The founding cohort is limited to eight (8) firms. Founding membership confers status and early access, not a discount. The Founding Member subscribes at full standard pricing for the tier selected at signup. Founding membership includes:
- Founding recognition. Identification as a Vellor founding member, subject to Section 5 consent.
- Direct founder access. A direct line to Ellis Tech's founder for support, feedback, and roadmap input during the founding period.
- Price lock. The pricing protection in Section 4.
3. Trial, billing, and cancellation
The Founding Member receives a 30-day free trial beginning at signup. A payment method is captured at signup, and the subscription converts automatically to the selected paid tier at the end of the trial unless cancelled before the trial ends, as described in the Terms of Service and the Refund and Cancellation Policy. The Founding Member may cancel at any time through the account settings or by written notice.
4. Twelve-month price lock
The monthly or annual rate for the Founding Member's selected tier is locked for twelve (12) months from the signup date, regardless of intervening standard price changes. A mid-term change to a different tier adopts that tier's then-current standard rate, which is then locked for the remainder of the original twelve-month period. The price lock applies to the base tier subscription only; add-ons, including additional seats and volume packs, are billed at then-current standard rates.
5. Feedback, case studies, and recognition
In the spirit of the founding program, the Founding Member agrees to provide reasonable good-faith feedback on Vellor during the first ninety (90) days, such as periodic check-in calls and responses to short questionnaires. Feedback is provided as-is, and Ellis Tech may use it to improve Vellor without obligation or attribution.
Any case study, testimonial, published result, or public identification of the Founding Member requires the Founding Member's prior written consent, may be attributed or anonymized at the Founding Member's choice, and will be scrubbed of client-identifying detail. The Founding Member may withdraw consent prospectively at any time.
6. Early-stage product acknowledgment
The Founding Member acknowledges that Vellor is an early-stage product under active development. Features, integrations, and interfaces may change, and roadmap items, including planned integrations discussed with the Founding Member, are good-faith plans rather than binding commitments. No statement about future functionality forms part of this Addendum unless stated in a signed writing.
7. Professional responsibility
Vellor supports licensed attorneys; it does not provide legal advice and is not a substitute for the professional judgment of a licensed attorney. All AI-generated output requires the Founding Member's review and approval before it reaches a client, and the Founding Member retains full professional responsibility for all work product and client matters, as further described in the AI and Professional Responsibility Disclaimer.
8. Data handling
Customer and client data are handled as described in the Service Terms and, where executed, the Data Processing Addendum. For reference and without modifying those documents: customer data is not used to train AI models; data is available for export for thirty (30) days after termination; and deletion follows within ninety (90) days in accordance with the retention practices described in the Service Terms. The Founding Member remains responsible for any client consents required by applicable rules of professional conduct.
9. Term, termination, and survival
This Addendum runs for twelve (12) months from signup or until the subscription is cancelled, whichever comes first. Cancellation ends founding-member benefits, including the price lock. Sections 5 (as to prior consented uses), 7, and 8 survive termination. Liability, dispute resolution, governing law, and arbitration are governed by the Terms of Service, including its limitation of liability and Maryland governing-law and arbitration provisions.
10. Acceptance
The Founding Member accepts this Addendum by affirmative act at signup, by checking the box labeled for these Founding Member Program Terms alongside acceptance of the Terms of Service. Ellis Tech maintains a dated record of consent, including the account, the timestamp, and the version of this Addendum accepted. Where signup occurred before this Addendum was presented at signup, written or electronic confirmation of acceptance (including confirmation by email) has the same effect, and the acceptance date is the date of that confirmation.
